1. Introduction

These Terms of Use ("Terms") govern your access to and use of the Humankind website, platform, and services (collectively, the "Service") operated by Humankind Bio, Inc., a Delaware Public Benefit Corporation ("Humankind," "we," "us," or "our").

Humankind exists to advance human understanding through the collective analysis of genomic and phenotypic data. We operate under a legal commitment, embedded in our corporate charter, to ensure that identifiable individual data remains under individual control and is not sold or licensed for commercial use.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


3. Account Registration

To access certain features of the Service, including receiving your Human Operating Guide or participating in genetic clusters, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.


4. The Service

4.1 What We Provide

Humankind provides genomic analysis and personalized insights based on genetic data you upload or provide through a sample kit. The Service includes:

  • Human Operating Guide: A personalized report analyzing your genetic architecture and providing operational insights about how your body responds, metabolizes, recovers, and adapts.
  • Genetic Clusters: Access to aggregated, anonymized insights from people whose genetic architecture resembles yours (where available and subject to waitlist).
  • Platform Features: Tools to explore your genetic data and connect with community insights.

4.2 What We Do Not Provide

The Service is for informational and educational purposes only. Humankind does not provide:

  • Medical advice, diagnosis, or treatment
  • Recommendations to start, stop, or modify any medication or treatment
  • Clinical genetic testing or counseling
  • Predictions of disease risk intended to guide medical decisions

You should consult qualified healthcare professionals before making any health decisions based on information from the Service. The insights we provide are operational observations about genetic tendencies, not clinical guidance.

4.3 Limitations of Genetic Analysis

Genetic analysis has inherent limitations:

  • Consumer DNA tests (such as those from AncestryDNA or 23andMe) analyze a subset of genetic variants and may not capture rare variants, structural variations, or complete gene sequences.
  • Genetic associations are based on population studies and may not apply uniformly to all individuals.
  • Your phenotype—how your genes express in real life—is influenced by environment, lifestyle, and factors beyond genetics.
  • Scientific understanding of genetics continues to evolve; insights may be updated as research advances.

5. Your Data

5.1 Our Commitment

Humankind is a Public Benefit Corporation. Our corporate charter includes a binding prohibition on the sale or licensing of identifiable individual data for commercial use. This is not a policy—it is a legal constraint on how we operate.

Specifically:

  • Your data remains yours. You retain ownership of your genetic data at all times.
  • We do not sell your data. We will not sell, license, or transfer your identifiable genetic data to third parties for commercial purposes.
  • No one accesses it but you. Your individual genetic data is accessible only to you, unless you explicitly authorize otherwise.

5.2 How We Use Your Data

We use your genetic data solely to:

  • Generate your Human Operating Guide and personalized insights
  • Contribute to aggregated, anonymized analyses that power cluster insights (your individual data is never identifiable in these aggregations)
  • Improve the Service and develop new features

We may use anonymized, aggregated data—where no individual can be identified—for research purposes and to improve our understanding of genetic architecture across populations.

5.3 Data Deletion

You may request permanent deletion of your genetic data from our systems at any time. We will honor deletion requests within 60 days. To request deletion, contact us at privacy@humans.inc.

Once deleted, your data cannot be recovered, and you will lose access to your Human Operating Guide and cluster features.

5.4 Change of Control

If Humankind undergoes a merger, acquisition, or sale of assets, any acquiring entity is legally required to assume the data protection obligations in our corporate charter. You will be notified of any such transaction and given the opportunity to request deletion of your data before transfer.

6. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload genetic data that is not your own without explicit authorization from the data owner
  • Attempt to access another user's account or data
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without our written permission
  • Misrepresent your identity or affiliation
  • Use the Service to harass, abuse, or harm others
  • Share, sell, or redistribute your Human Operating Guide or other materials from the Service except for personal, non-commercial use

7. Intellectual Property

7.1 Our Content

The Service, including its design, features, content, and underlying technology, is owned by Humankind and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without our written permission.

7.2 Your Content

You retain ownership of any content you submit to the Service, including your genetic data. By uploading genetic data, you grant Humankind a limited license to use that data solely as described in Section 5.2.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback for any purpose without obligation to you.


8. Third-Party Services

The Service may integrate with or link to third-party services (such as DNA testing providers or payment processors). Your use of third-party services is governed by their respective terms and privacy policies. Humankind is not responsible for the practices of third parties.


9. Fees and Payment

9.1 Pricing

Current pricing for the Service is displayed on our website. We reserve the right to change pricing at any time, but changes will not affect orders already placed.

9.2 Payment

Payment is processed through third-party payment providers. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge it for the applicable fees.

9.3 Refunds

Due to the personalized nature of the Human Operating Guide, all sales are final once analysis has begun. If you are dissatisfied with the Service, contact us at support@humans.inc to discuss your concerns.


10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • The results or insights will be accurate, complete, or reliable
  • The Service will meet your specific requirements or expectations
  • Any errors in the Service will be corrected

Genetic analysis involves scientific interpretation that may change as research evolves. We do not guarantee the accuracy or completeness of any insights provided.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANKIND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.


12. Indemnification

You agree to indemnify and hold harmless Humankind and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit to the Service

13. Modifications to the Service and Terms

13.1 Service Changes

We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

13.2 Terms Changes

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.


14. Termination

14.1 By You

You may terminate your account at any time by contacting us at support@humans.inc. Termination does not automatically delete your genetic data; see Section 5.3 for data deletion requests.

14.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe your conduct poses a risk to other users or to Humankind. We will provide notice where practicable.

14.3 Effect of Termination

Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including Sections 5, 10, 11, 12, and 15) will continue to apply.


15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at legal@humans.inc and attempt to resolve any dispute informally for at least 30 days.

15.3 Arbitration

If we cannot resolve a dispute informally, you agree that any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Delaware or another mutually agreed location.

15.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action, class arbitration, or other representative proceeding.

15.5 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.


16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Humankind regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.

We may provide notices to you through the email address associated with your account or through the Service. You may provide notices to us at legal@humans.inc.
